FULL STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions govern the sale of services and products offered by Club Calima Corp (“we”, “us”, or “our”) through this website and related platforms

By purchasing services, products, or engaging with our team, the client (“you”) agrees to these Terms and Conditions

1. Scope of Services

We provide professional services including, but not limited to:

• Technical consulting and software development

• ERP and Odoo consulting

• Developer operations and infrastructure management

• E-commerce and marketplace development

• Community consulting and event production

• Fractional executive and advisory services

Unless explicitly stated otherwise in writing, all services are provided on a best-effort basis and are advisory, implementation, or support service, not guaranteed outcomes

2. Orders, Intake, and Engagements

Some services and products offered on this website (including consultations, intake calls, or assessments) are used to initiate an engagement

• Purchasing a service does not automatically constitute a fixed-scope project

• After purchase or contact, we will reach out to conduct an intake process, clarify needs, and define next steps

• Any additional scope, ongoing work, or retainers will be agreed upon separately

3. Pricing and Payments

• Prices are displayed on the website or agreed upon in writing

• Infrastructure, third-party tools, licenses, or hosting costs are billed separately unless explicitly included

• Invoices are payable within 21 calendar days, unless otherwise stated on the invoice or agreement

In the event of late payment:

• We reserve the right to suspend services

• A late payment interest of 10% of the outstanding balance may be applied

If payment remains outstanding for more than 60 days, we reserve the right to engage a debt recovery service. Any related costs will be borne by the client

4. Taxes and Withholding

Clients are responsible for any taxes, duties, or withholdings required by local laws

Any withholding taxes must be paid by the client and do not reduce the amount owed to Club Calima

5. Service Delivery and Responsibility

We commit to providing services in good faith, professionally, and within agreed timelines when possible. However:

• Our obligations are obligations of means, not obligations of results.

• We do not guarantee specific business, financial, or technical outcomes.

• We are not responsible for third-party platforms, vendors, hosting providers, or tools used as part of an engagement.

Under no circumstances shall Club Calima LLC be held liable as a third party in claims brought against the client by end users, customers, or partners

6. Claims and Communication

Any claim related to delivered services must be communicated in writing within 8 days of service delivery or milestone completion to be considered

We encourage addressing issues collaboratively and promptly to resolve misunderstandings efficiently

7. Intellectual Property

Unless otherwise agreed in writing:

• Pre-existing tools, frameworks, templates, and know-how remain the property of Club Calima or open sourced

• Custom deliverables created and paid for by the client may be licensed or transferred as agreed per engagement

8. Governing Law

All contractual relations shall be governed exclusively by the laws of the jurisdiction in which Club Calima Corp is registered, without regard to conflict-of-law principles

Club Calima Corp is a Delaware corporation. These Terms and Conditions are governed by applicable U.S. and state laws, unless otherwise agreed in writing
